Key Responsibilities

• Manage and execute complex corporate transactions, including mergers, acquisitions, divestitures, and joint ventures.
• Advise clients on corporate structuring, governance, and regulatory compliance matters.
• Draft, review, and negotiate a wide array of commercial agreements and transactional documents.
• Conduct comprehensive legal due diligence for clients involved in significant business dealings.
• Provide strategic legal counsel on business formation, shareholder agreements, and commercial disputes.
• Supervise and mentor junior legal staff and paralegals working on assigned matters.
• Develop and maintain strong client relationships, ensuring exceptional service delivery.
• Stay abreast of legal developments and industry trends impacting corporate and commercial law.
• Contribute to business development and practice group initiatives.

Requirements

• Admitted Attorney of the High Court of South Africa with a minimum of 7 years of post-admission experience in corporate and commercial law.
• Demonstrated expertise in handling complex M&A transactions and corporate restructuring.
• Proven experience in drafting and negotiating sophisticated commercial contracts.
• Solid understanding of corporate governance, securities law, and relevant regulatory frameworks.
• Exceptional analytical, problem-solving, and critical thinking skills.
• Outstanding communication, negotiation, and interpersonal abilities.
• Ability to manage client expectations and deliver results in a remote work environment.
• Proficiency in legal research databases and modern legal practice management software.
