About the Role
Our client is expanding its legal capabilities and seeks a highly experienced Remote Senior Legal Counsel specializing in Mergers & Acquisitions (M&A) to join their distributed team. This role is critical for supporting complex global transactions, providing strategic legal advice throughout the M&A lifecycle, from due diligence to post-acquisition integration. You will work independently and collaboratively with international deal teams, business leaders, and external counsel. This is an exceptional opportunity for a seasoned M&A lawyer to operate in a fully remote capacity, contributing to high-impact deals and shaping the legal framework of corporate growth.
Key Responsibilities
- Lead legal due diligence processes for potential acquisitions and divestitures.
- Draft, negotiate, and finalize M&A transaction agreements, including share purchase agreements and asset purchase agreements.
- Advise on deal structuring, regulatory compliance, and risk mitigation for M&A activities.
- Coordinate with internal business units and external legal advisors across various jurisdictions.
- Manage post-closing integration activities from a legal perspective.
- Stay abreast of M&A market trends and relevant legal developments globally.
Requirements
- Admitted Attorney with 8+ years of progressive experience focused on M&A transactions.
- Demonstrated expertise in handling complex cross-border and domestic M&A deals.
- Strong understanding of corporate law, securities law, and relevant regulatory frameworks.
- Exceptional negotiation, drafting, and analytical skills.
- Proven ability to manage multiple large-scale projects simultaneously in a remote environment.
- Excellent communication and interpersonal skills for effective remote collaboration.
