Remote Senior Legal Counsel - Mergers & Acquisitions

About the Role

Our client is seeking a highly experienced Senior Legal Counsel with a strong background in Mergers & Acquisitions (M&A) to join their legal team on a fully remote basis. This role is critical for supporting the company's strategic growth initiatives by managing all legal aspects of M&A transactions, from initial exploration through to post-completion integration. You will work closely with internal stakeholders and external advisors to navigate complex deal structures and ensure successful outcomes. Key Responsibilities

• Lead and manage the legal aspects of M&A transactions, including due diligence, negotiation, and drafting of transaction agreements.
• Advise senior management and business teams on M&A strategy, risks, and regulatory considerations.
• Coordinate with external counsel and other advisors to ensure seamless deal execution.
• Manage post-closing integration processes from a legal perspective.
• Develop and maintain internal playbooks and best practices for M&A legal processes.

Requirements

• Admitted Attorney with a minimum of 8 years of specialized experience in M&A transactions.
• Extensive experience managing complex cross-border and domestic M&A deals.
• Proven ability to lead deal teams and advise C-suite executives.
• Exceptional negotiation, drafting, and analytical skills.
• Comfortable working independently and managing a demanding workload in a remote setting.
